I'm going with Naut on this I think.

His immortality, regen, and ~2x AP/dura (higher with buffs) advantage is gonna be very big here, as small as the difference in stats is. There's just not much Headmaster can do here, especially since he loses HEAVY in lifting strength and has no way to counter Naut's frankly absurd list of resistances. The only way he's going to be able to score a win here is through somehow outlasting with his higher intelligence and prep, but even then I don't think he's got what it takes to overcome Naut's stat and hax advantage.

So yeah, Nautilodaunt has this.

The only way prep really helps is extra time to study what Naut has and maybe whip up some resistance with CMA, but not only is that last part outside help it also just wouldn't help him against how disadvantaged he is here
