Lily being an expert swordsman and hand to hand combat,while also having flight and... well, I guess hurting someone with a sharp edge of a sword is easier than with punches.

Pantherlily wins with Low Dif

Lily have the advantage with experience, best fighting style(fought against Gajeel and had a sword duel against Erza in she's base armor which is Mage S-Class), flight(if the time limit in your combat mode ends it can fly trim out of Chopper's reach), statistics amplification, best AP and Durability(probably)

Chopper has advantage of versatility, AP and Durability (only with Monster Point which is irrational and it will be useless) and even though he uses information analysis Lily's only weakness is the thunder which Chopper will know will not be useful and even though he knows the weakness about combat mode, Lily can simply fly off if she finishes and waits for her to finish the time and return to this mode.

Chopper have weakness: he can not consume more than three Rumble Ball or else he will activate the transformation Berserker who does not think so Lily will easily beat Chopper.

I know, but I wanted to say that Chopper has higher Ap and durability than Lily at Monster Point.
