Megatron has cannons, jets, a sword, and even just claws and fangs. Why couldn't he just break out of Spidey's webs, exactly?

Spiderman has no way to actually harm Megatron, whereas the latter can easily just blow him up with his Fusion Cannon. Spiderman may have the edge in speed/agility, but he'll tire eventually.

I think Megatron's transformation will shake Spidey up (ish. Cause you know...precog is precog). Ultimately, he can use information analysis and x ray vision to exploit the best point to attack, then blow it up. Also, AP advantage goes to Spidey, which sucks for Megatron. Put that all on top of the fact that Spidey can benchpress this boi and has higher intelligence, Megatron's done for. Also, even if Megatron was stronger, overconfidence might not let him get the job done. Spidey for reasons I just stated.
